As a Tax Manager in ourNational Federal Tax Services (NFTS) practice, you will be offering day-to-daymanagement of projects through the delivery of tax consulting services to theclient.  Primary responsibilities include implementation of valuable taxconsulting projects and the oversight of complex tax research projects forclients in diverse industries, participation in engagements requiring taxanalysis for a variety of entities and their affiliates, and research andanalysis of a wide range of tax issues encountered during our projects.

 

Tax Managers supervise assignmentsby the professional accountants serving as Tax Consultants and Tax SeniorConsultants. They have responsibility for the development and motivation ofengagement staff and provide them with leadership, counseling and careerguidance.  They have proven, extensive technical skills and have developedtheir reputation in a given industry/service offering.  They mustdemonstrate sound judgment and instincts with respect to evaluating complexscenarios, while supervising and developing our people.

 

Specific Transaction & Integration Services (TIS) Tax ManagerPosition Summary:

 

The NFTS, Transaction &Integration Services (T&IS) practice advises businesses and their investorson tax matters associated with integration, divestment, joint ventures,bankruptcy emergence, public equity offerings and legal entityrealignment.  Working with complementaryteams from Deloitte Consulting LLP, Deloitte & Touche LLP Assurance andEnterprise Risk Services, and Deloitte Financial Advisory Services LLP, taxprofessionals within T&IS consult with clients concerning operations,corporate functions (e.g. Finance, Human Resources, Information Technology,procurement and sales).  They assistclients on the following matters of taxation: 1) those resulting from thetransaction (such as golden parachute rules), 2) departmental operations (e.g.,combined financial accounting, tax department assimilation or tax opsstand-up), and 3) those arising from synergy capture and business or processchanges.

 

Members of this team alsoprovides stock basis and E&P analysis for companies that are restructuring,disposing of unwanted subsidiaries, making strategic acquisitions using bothcash and stock, or contemplating bankruptcy. They complete E&P and stockbasis computations for consolidated groups and large separate entities.  The team also maximizes the tax basis createdin stock-for-stock acquisitions (tax-free “B” reorganizations), determinesownership change dates and computes and maximizes the ability to use attributeswith section 382 ownership change limitations, complete computations pursuantto the new unified loss rules, and complete reviews of client’s basiscomputations to find basis enhancements that may result in tax savings.

 

In addition, the team providesdetailed analysis of transaction costs incurred in connection with merger,acquisition, reorganization, or other capital transactions which can result insignificant tax savings since a portion of the costs may be currentlydeductible or amortizable for federal income tax purposes.  In addition, such analysis will minimize theeffective tax rate impact since such costs are deducted for financial statementpurposes. The TCRS team’s basic solution is to deduct or amortize costs thatare considered non-facilitative (costs incurred prior to certain “bright line”decision dates and are not considered inherently facilitative in nature).

 

We are currently seeking aManager for our NFTS, TIS tax practice. This position requires the ability to identify and understand complextax issues through reading financial statements, regulatory filings,transactional documentation, client correspondence and tax returns, and toevaluate the income and indirect tax implications of proposed integrations,divestitures and related business transformational transactions.  TIS Managers must be familiar with the taxconsulting process and possess the professionalism necessary to meet clients’tax needs.  They will superviseassignments by tax professionals at the senior consultant and consultant levelswith Deloitte Tax, having responsibility for the development and motivation ofthe engagement teams and provide them with leadership, counseling and projectguidance.  In addition, TIS Managersdirect complex tax research, formulate tax-planning strategies and perform taxdepartment assessments, working with others within Deloitte Tax to ensuredelivery of client service at the highest possible level.  Successful candidates will have anopportunity to expand tax research skills via extensive tax research involvingcomplex technical tax and operational issues (e.g., taxation of corporationsand pass-throughs, tax accounting methods, tax operations, indirect taxationschemes in the United States and abroad, etc).

Qualifications:

  • 5 or more years Core Federal Tax experience required
  • Big4 experience or equivalent a plus
  • Working knowledge of Corporate tax issues associated with businesscombinations and divestitures, including substantial experience in taxation ofcorporations and their shareholders, partnerships and their partners, andsimilar disciplines required
  • Knowledge of FAS 109, tax accounting and basic multi-state andinternational tax principles required
  • Bachelor’sdegree in Accounting, Finance or other business-related field required
  • AdvancedDegree preferred: MST, MAcc, LLM or JD
  • CPApreferred
  • Stronginteraction skills with management/executive presence
